The company was formed to acquire all the ordinary shares in Briscoe and Co Limited.

In 1958 the company was registered in Victoria. In March 1958 the company transferred its management and control from London to Melbourne after which it was no longer liable for U.K tax.

The company ceased trading in Australia in February 1970, and transferred its head office to New Zealand. Its Australian distribution activities were acquired by Kempthorne Mistral Ltd., in December 1969.
