The company was registered in Victoria on March 5 1896, to take over Carlton and West End Breweries Ltd. In August 1903 the Society of Melbourne Brewers was formed of which Carlton Brewery Ltd, was member. The society helped fix the price of beer. In April 1906, to make themselves more competitive, it was announced that the members of the Society of Melbourne Brewers: Carlton Brewery Ltd, McCracken’s City Brewery Ltd, Castlemaine Brewery Co (Melbourne) Ltd, Shamrock Brewing and Malting Co. Ltd, The Foster Brewing Co. Pty Ltd and the Victoria Brewery Pty Ltd, would amalgamate into one company. The new company Carlton & United Breweries (CUB) was registered on 8 May 1907 and all the parties signed the agreement on 30 June 1907. As the largest brewery involved in the deal Carlton had two directors, including the chairman on the new company’s board. Carlton received the majority of the shares (2/5) in the new company. After the amalgamation Carlton & United was to make the beer, while the other companies were to be brewers in name only. Carlton had the largest plants out of six breweries that had merged so it continued to brew beer in its plant for CUB. After the amalgamation Carlton Brewery Limited operated as a holding company, deriving revenue from shares in Carlton and United Breweries Ltd., from hotel freeholds and other investments. In a restructure of the capital structure of the Carlton United Breweries Ltd. group on March 3, 1973, shareholders in Carlton Brewery Limited were reissued with Carlton United Brewery shares. | ||
